Dominic Totman, Chair of the Mergers & Acquisitions Practice Group at Cranfill Sumner LLP, participated in the Federal Bar Association webinar, “The Rollover Percentage Doesn’t Tell You What the Founder’s Stake Is Worth,” on Sept. 15. During the program, Totman discussed key considerations for founders selling to private equity platforms, including rollover equity structures, governance and minority protections, exit rights, earnout design, and the impact of recent Delaware court decisions on M&A transactions.
